Australia Samly Holdings Group Limited ACN 164 307 975 (Company) lodged a Prospectus dated 10 December 2013 (Prospectus) with the Australian Securities and Investments Commission (ASIC). The electronic copy of the Prospectus available on this website is a substantially faithful copy of the paper copy lodged with ASIC. The Prospectus contains details required by investors to acquire fully paid ordinary shares in the Company (Offer Shares) under the Prospectus.

4. Application for Offer Shares

Applications for Offer Shares may only be made by completing and lodging the Application Form attached to or accompanied by a paper copy of the Prospectus in accordance with the directions specified in the Prospectus.

The electronic version of the Prospectus includes an Application Form at the end of the document. The Corporations Act 2001 (Cth) (Corporations Act) prohibits any person from distributing to any other person an Application Form unless it is attached to a paper copy of the Prospectus or accompanies a complete and unaltered version of the electronic Prospectus.

In accordance with Chapter 6D of the Corporations Act, the Prospectus is subject to an exposure period of 7 days from the date of lodgement with ASIC. The purpose of this exposure period is to enable the Prospectus to be examined by market participants prior to the raising of funds. Applications received prior to the expiration of the exposure period will not be processed until after the exposure period. If the exposure period is extended by ASIC, Applications will not be processed until after the expiry of the extended Exposure Period. No preference will be conferred on applications received in the exposure period and all Applications received during the exposure period will be treated as if they were simultaneously received on the Opening Date. If the Prospectus is found to be deficient, Applications received will be dealt with in accordance with section 724 of the Corporations Act.
